Please read these terms carefully before using Pman. By accessing our service, you agree to be bound by these terms.

These Terms and Conditions ("Terms") are entered into between Lohy Pty Ltd ABN [88 636 931 970] ("we," "us," "our," or "Pman") and you ("you," "your," "user," or "customer"). These Terms govern your use of our website, software, and services (collectively, the "Service").

By accessing or using Pman, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use the Service.

1. Definitions

In these Terms:

  • "Account" means your user account with Pman
  • "Shopify" means Shopify Inc. and its affiliated companies
  • "Content" means any data, information, or material you input into the Service
  • "ACL" means the Competition and Consumer Act 2010 (Cth) as amended
  • "Intellectual Property Rights" means all copyright, trademark, patent, trade secret, and other intellectual property rights

2. License and Permitted Use

Subject to these Terms, Pman grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You agree not to:

  • Reverse engineer, decompile, or attempt to derive the source code of the Service
  • Use the Service for any unlawful purpose or in violation of any laws
  • Access or use the Service to build a competing product or service
  • Scrape, crawl, or automate access to the Service without permission
  • Attempt to gain unauthorized access to the Service or related systems
  • Upload malware, viruses, or any harmful code
  • Harass, abuse, or threaten other users

3. Account Registration

To use Pman, you must create an Account. You agree to provide accurate, current, and complete information during registration. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your Account
  • Notifying us immediately of any unauthorized access to your Account

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization.

4. Fees and Billing

You agree to pay all fees specified for your chosen plan. Billing occurs monthly on the anniversary of your subscription start date. Payment is processed securely by our payment processor.

You are responsible for keeping your payment information current. If payment fails, we may suspend your access to the Service until payment is received.

Prices may change with 30 days' notice. Your continued use of the Service after price changes constitutes acceptance of the new pricing.

5. Free Trial

A free 14-day trial is available for new users. The trial includes full access to your chosen plan's features. After the trial period ends, your subscription will automatically convert to a paid plan unless cancelled beforehand.

We will provide notice before charging your payment method. You can cancel at any time during the trial without charge.

6. Cancellation and Refunds

Cancellation

You can cancel your subscription at any time through your Account settings. Cancellation takes effect at the end of your current billing period.

Refunds

Except as required by Australian Consumer Law, no refunds are provided for:

  • Partial months of service
  • Unused portions of monthly subscriptions
  • Services already rendered

If you are entitled to a refund under the Australian Consumer Law, Pman will process the refund within 14 business days of the cancellation request.

Payment Processing

Payments are processed securely by Shopify. Shopify handles all payment processing, billing inquiries, and payment disputes. For payment-related questions, please contact Shopify directly.

For users not utilizing Shopify or requiring alternative payment methods, please contact dev@pman.com.au to discuss available options.

7. Intellectual Property Rights

All Intellectual Property Rights in the Service, including but not limited to the software, design, and documentation, are owned by Pman or our licensors. These Terms grant you no ownership rights in the Service.

Your Content remains your property. By using the Service, you grant Pman a worldwide, non-exclusive license to use, copy, modify, and display your Content for the purpose of providing the Service to you.

8. Third-Party Services and Integration

Pman integrates with Shopify and other third-party services. Your use of these services is governed by their respective terms and privacy policies. Pman is not responsible for:

  • The availability or functionality of third-party services
  • Any data loss or errors resulting from third-party services
  • Changes to third-party services or their discontinuation

9. Disclaimers and Warranties

Except as expressly required by the Australian Consumer Law, Pman provides the Service "AS IS" without warranties of any kind, express or implied.

🔔 Important: Pman does not warrant that the Service will be error-free, uninterrupted, or fit for a particular purpose.

To the extent permitted by Australian law, Pman disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement of third-party rights
  • Availability or reliability

10. Limitation of Liability

⚠️ Liability Limitation: These limitations apply to the maximum extent permitted by Australian law, including the Competition and Consumer Act 2010 (Cth).

Exclusion of Liability

To the maximum extent permitted by law, Pman shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits or revenue
  • Loss of data or business interruption
  • Loss of use or opportunity
  • Reputational harm

Liability Cap

Except for liabilities that cannot be excluded or limited under Australian Consumer Law, the total liability of Pman shall not exceed the amount paid by you to Pman in the 12 months preceding the claim.

Exceptions

These limitations do not exclude or limit any liability that cannot be excluded or limited under the Competition and Consumer Act 2010 (Cth) or other applicable laws in New South Wales or Australia, including:

  • Consumer guarantees regarding goods and services
  • Liability for misleading or deceptive conduct
  • Personal injury claims

11. Data Security and Backup

Pman implements industry-standard security measures to protect your data. However, no security is 100% secure. You acknowledge the inherent risks of internet-based services.

You are responsible for maintaining backups of your Content. Pman is not liable for loss or corruption of data, whether caused by our systems or third-party services.

Upon cancellation, your data will be retained for 30 days before deletion. You may request earlier deletion by contacting support@pman.com.

12. Data Retention Upon Termination

Upon termination or cancellation of your subscription, your data will be retained for 14 days to allow for data export and recovery. After 14 days, all your data, including Content and account information, will be permanently deleted from our systems.

You are responsible for exporting and backing up your data before the 14-day period expires. Pman is not liable for any data loss following the 14-day retention period.

13. Service Availability

While we aim to maintain high availability, Pman does not guarantee 100% uptime. We may perform maintenance or updates that temporarily interrupt service.

We will provide reasonable notice of scheduled maintenance. Pman is not liable for any interruption of Service or loss of data resulting from maintenance, technical issues, or events beyond our reasonable control.

14. Indemnification

You agree to indemnify, defend, and hold harmless Pman and its officers, employees, and agents from any claims, damages, or costs (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the Service in violation of any law
  • Your Content or use of your Account
  • Your infringement of third-party Intellectual Property Rights

15. Termination

Pman may terminate your Account if:

  • You violate these Terms
  • You engage in unlawful or fraudulent activity
  • You breach the acceptable use policy
  • Payment cannot be processed for 30 days

Pman may also, at its sole and absolute discretion, refuse to provide or continue providing the Service to any user, or terminate access to the Service, without providing a reason, except where prohibited by the Australian Consumer Law.

Upon termination, your access to the Service ceases immediately. Provisions intended to survive termination shall continue in effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pman regarding the Service. These Terms supersede all prior agreements and understandings.

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in effect.

17. Modifications to Terms

Pman may update these Terms from time to time. We will notify you of material changes by email or by posting the updated Terms on this page with a new date.

Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must cancel your subscription.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict of law principles.

You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales. However, nothing in these Terms prevents you from bringing a claim in the Australian Consumer Law tribunal or any court of competent jurisdiction.

Nothing in these Terms excludes or limits your rights under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law.
